We are seeking a talented attorney to join our Legal team, providing legal support to an array of business initiatives with a primary focus on supporting strategic transactions and arrangements regarding, data, technology and financial services. 

Your responsibilities will include:

  • Managing deals from beginning to end as well as advising on corporate matters post-deal
  • Structuring, negotiating and executing investments and arrangements involving a variety of structures (C corp., LLC, LP, etc.)
  • Reviewing, analyzing and drafting a wide-range of transaction agreements (including operating agreements, joint venture arrangements, strategic alliance agreements, licenses, terms of use, purchase and sale contracts and debt facilities)
  • Performing legal due diligence of targeted assets, especially intellectual property rights regarding technology and data
  • Establishing and advising on governance and intercompany operations, including working with management of portfolio companies
  • Liaising with various teams to ensure compliant and sound transactions, including assisting with developing and advising on controls and best practices, tax and accounting issues, and intercompany touchpoints across the firm
  • Developing knowledge of the data and technology ecosystems and advising business teams on the critical legal issues in the realms of data, privacy, technology licensing, and FinTech
  • Drafting and negotiating a variety of data, software, procurement and outsourcing  contracts, and standardizing internal document management procedures and preferred contract terms across the organization

Requirements Include:

  • 3-5 years as a corporate transactional associate at a reputable US law firm (specialty in M&A, venture capital or joint ventures and experience with technology firms is a plus) or 2+ years as a transactional associate followed-by significant in-house transactional experience
  • Presence and self-confidence (i) to interface with the internal and external constituents, (ii) to lead investment professionals and management teams in and through a transaction      or initiative and (iii) to effectively manage external counsel and advisers
  • Extraordinarily strong analytical and communication (written and oral) skills
  • Strong sense of ownership and personal responsibility, with drive to cover areas of responsibility deeply and broadly
  • Ability to prioritize, multi-task, and manage expectations in a fast-paced environment
  • Personality, mindset, and approach suitable for an entrepreneurial, growing firm with a collaborative, team dynamic
  • Ability and desire to independently learn emerging areas of law and identify legal issues related to innovative businesses
  • Admission to the New York bar
